Licence agreement

 

OUR IMAGES WILL BE PROVIDED UNDER THE FOLLOWING TERMS AND CONDITIONS WHICH CONTAIN CERTAIN LIMITATIONS AND WARRANTIES OF THEIR USE. PLEASE READ CAREFULLY BEFORE YOU DOWNLOAD ANY IMAGES, AS WE CANNOT OFFER ADVICE ON EACH USE OF OUR DIGITAL IMAGES. PLEASE DO TAKE ADVICE FROM AN INDEPENDENT LEGAL ADVISER IN CASES WHERE YOU MAY BE UNCERTAIN OF VARIOUS APPLICABLE COPYRIGHT LAWS AS IN SOME CASES FURTHER AUTHORIZATION MAY BE REQUIRED.

IN ACCEPTING THIS LICENSE AGREEMENT, YOU WILL BE BOUND BY THE TERMS SET OUT IN THIS DOCUMENT (SINGLE IMAGE OR RUN WITH THE WILD SUBSCRIPTION) WHICHEVER YOU HAVE CHOSEN, YOU WILL BE RESPONSIBLE FOR ANY FEES IN CONNECTION WITH THE USE OF OUR SERVICES; I.E., INTERNET PROVIDER (EX. AOL) CONNECTION FEES ETC.
IF YOU ARE A COMPANY REPRESENTATIVE, YOU WILL NEED TO HAVE FULL AUTHORITY TO ACCEPT THESE CONDITIONS ON THEIR BEHALF. IF THESE TERMS ARE NOT ACCEPTABLE WE WILL UNFORTUNATELY, NOT BE ABLE TO PROCESS ANY PURCHASE OR PURCHASES.

 

THE RUN WITH THE WILD SUBSCRIPTION LICENSE AGREEMENT

A. In General.

If you decide to purchase a subscription to Run With The Wild, you will agree to comply with all of the terms and conditions of this Service Agreement. The Agreement being with us (Run With The Wild) and yourself.
Run With The Wild reserves the right to change or modify parts of this Agreement when and where necessary

B. The License.

On registration Run With The Wild will grant you a limited license to download and use the images available under the subscription which will be non-transferable or exclusive in compliance with the guidelines of their usage during the period of your subscription.
All copyrights pertaining to the Images will remain with Run With The Wild.
By purchasing a subscription to our service, you will be granted a license to use all our available images. There will not be an upper ceiling limit to how many you may use, although to better facilitate your access to our service we will limit you to a monthly download of 300 images per month.
Run With The Wild will reserve the following rights, in its sole discretion, to monitor any (or all) downloaded images whenever necessary, for any breaches of this agreement.
To flag your account if your monthly download is more than 300 images as this could be indicative of potential breaches of this agreement or misuse of a subscriber ID and password by a third party.
Monitor any misuse/abuse of your subscriber ID and password relating to the service or agreement.
Without notice terminate this agreement if Run With The Wild believes to be any breach or abuse of your subscriber ID and password, In this event, you will lose all rights to our service and will be obliged to delete/erase all downloaded images from the service.

C. Propriety Rights.

All copyrights and any other applicable rights will stay with us or our suppliers.

D. You can, in accordance to the terms below, access and download the Run With The Wild images, and use the downloaded images for the following purposes:

1. in magazines and newspapers, and on book covers;
2. as a design element on a website, video game, or CD-ROM but NOT in connection with any Web site template or software product for distribution or use by others;
3. as part of marketing, advertising, or promotional materials, including print ads, mailers, flyer's, handouts and packaging;
4. in connection with your business or entity, eg corporate identity documents, and letterhead;
5. as decor in an office, lobby, or public area, restaurant, or retail store;
6. for on-screen presentation;
7. in video, film, or television broadcasts;
8. the images may be transmitted to a third party by way of a sample incorporated in a design of a web page for example, but not for permanent storage for their re-use by others.

E. You Cannot:

1. Use the images in any electronic/digital media of any form unless they are solely for viewing, and no authorization is granted for downloading or archiving for any reason;
2. authorize any third party to use the images for any purpose or resell, sub license, or otherwise make available the images for use or distribution separately or detached from a product or Web page;
3. share the images across a network, on a CD, or in any other way;
4. use automated or programmatic means or methods to download the images;
5. use the images in any downloadable format intended for multiple distribution including, without limitation, Web site templates, software products, e-greetings, etc.;
6. store the images on any form of network (or like device), only unless access is limited to licensed persons;
7. use the images in connection with any pornographic, obscene, immoral or illegal materials.

All content available on Run With The Wild™.com MAY NOT BE sub-licensed, re-sold, rented, lent, assigned, gifted, transferred or distribute in any vector based form. If there is any doubt as to a permitted use, please contact info [at] Run With The Wild.com

F. The Term.

The agreement shall begin on the same day that Run With The Wild receives payment. And will remain in force for the duration of subscription purchased. However, this agreement, with immediate effect, will be terminated, if any breach of its terms and conditions is detected.
Upon any termination of the agreement you will be obliged to erase/destroy all images and will be liable for all charges up to the point of account termination. In the instance of the agreement not being terminated, but the expiration of the subscription has occurred, you will be able use the images previously downloaded as of their expiration date, but only in compliance with the guidelines. The Liabilities and Warranties explained below will remain in force regardless of any expiration or termination.

G. Statement of Liability and Limitations.

Run With The Wild will provide images on a "sold as seen" basis which will mean that Run With The Wild will not be held responsible for any legal proceedings arising from the use of the image(s) whether direct or indirect. As the images are "sold as seen", Run With The Wild does not guarantee their merchantable quality or application for specific purposes, meaning their performance rests solely with you. Our maximum liability will not be more than the amount billed by us for the offending image(s).
Run With The Wild and its associates will not assure the continuous operation/service of the website or liable for compensation resulting from errors, omissions, delays or equipment failure or from any other situations that are explained in the next section.
If the Run With The Wild web site is in-operational for a period of more than 24 hours, your subscription will be prolonged for a period corresponding to the time of interrupted web service with immediate effect.
Run With The Wild will not be held to its liabilities or obligations stated in this agreement when such interruptions are a direct or indirect result(s) of the following circumstances, Fire, Flood, Earthquake, Acts of God, Riots, Public disorder (Rebellion, Revolution) Trade Union disputes, or any other circumstance out of the control of Run With The Wild wherever possible.
In the event of such circumstances mentioned, Run With The Wild will not be obliged to adhere to its obligations attributed to such circumstances for the period of their duration, although Run With The Wild, if possible, will always strive to continue services despite such circumstances if at all possible and adhere to its obligations.

H. Registration and Security.

The registration process will require you to select a password and login ID. Run With The Wild will also require certain information for registration, which must be current and accurate. This information will only be used by us. You cannot use the ID or password of another person with the intent to defraud. Any contravention would constitute an infringement of this agreement which could result in the termination of your subscription with immediate effect. You are obliged to be responsible for the security of ID and password. You will also be obliged to inform us of any unauthorized use of password, login ID, account, loss, theft or credit/debit card details.
You are also responsible for all activity on your account, whether you, or someone authorized by in the use of your ID and password. Fraudulent, offensive, obscene or any other illegal practice can result in termination of subscription, which will be at our discretion, and may result in referral to appropriate law enforcement.

H. Fees, Refunds, Payments, and Privacy.

You should also be aware that you will also be liable for any fees at whatever the charges are, concerning the use of this service. You will also be responsible for any taxes that are suitably applicable for whatever reason that applies to your account even if it is supplied via Run With The Wild. Please be aware that your payable fee is not refundable which is why we strongly advise you to take advantage of the free images that we offer (see on our homepage), before you decide to purchase a subscription.

I. In General.

This license in its entirety is the agreement between you and us. This license will annul any other agreement/contract whether oral or written and can not be changed except by consensual agreement by both parties with a signed agreement. This license will adhere and be in accordance with the Swiss law and will exclude the United Nations Convention on Contracts for the International Sale of Goods and any legislation implementing such Convention, if; otherwise, applicable. You hereby agree and attorney to the jurisdiction of the country. Run With The Wild may assign this license at any time.
